1.1 The terms of service (Terms of Service) set forth below apply to all visitors to and users of our Site (whether you are a registered Metalmintconnect.co.za application account holder or not, and whether you pay for a subscription to any of our Services; or are using our Services as a non‑paying user; or on a free trial basis). The Terms of Service govern your use and access to our services, including our website (Metalmintconnect.co.za), online and offline applications or application plug‑ins running on any platform or device (Applications), application programming interfaces (APIs), and email notifications (collectively referred to as Services), and any information, text, graphics, photos or other materials uploaded, downloaded, or appearing on the Services (collectively referred to as Content).
1.2 By accessing and using the Service you signify your acceptance of these Terms of Service and agreement to be bound by them and any and all other applicable terms referenced herein absolutely.
1.3 In these Terms of Service, the words “you” and “your” refer to each customer, Site visitor, or Application user. "We", "us", "our", and "Metalmintconnect.co.za" refer to BUILD AI GROUP Pty Ltd , a limited liability company registered in South Africa.
1.4 If you are entering into these Terms of Service on behalf of a company, partnership, sole proprietorship, or other legal entity, you represent that you have the legal authority to bind such an entity to these Terms of Service, in which case the terms “you” or “your” shall refer to such entity. If you do not have such authority or you do not agree with these Terms of Service, you must not use this Site, our Applications, or any of our Services. We shall not be liable for any loss or damage resulting from our reliance on any instruction, notice, document, or communication reasonably believed by us to be genuine and originating from an authorized representative of your entity. If there is reasonable doubt about the authenticity of any such instruction, notice, document, or communication, we may, but are not obliged, to require additional authentication from you.
1.5 OUR SERVICES ARE NOT INTENDED FOR MINORS. YOU AGREE THAT BY USING THE SITE, APPLICATIONS, AND THE SERVICES YOU ARE AT LEAST 18 YEARS OF AGE AND YOU ARE LEGALLY ABLE TO ENTER INTO A CONTRACT.
1.6 Metalmintconnect.co.za reserves all rights and final decisions in case of a dispute.
We may amend the Terms of Service from time to time in our sole discretion without notice or liability to you. It is your responsibility to review these Terms of Service periodically. By continuing to use the Services following such amendments to the Terms of Service, you agree to be bound by such amendments. If you do not agree to the Terms of Service, now or at any time, please do not use the Site or any Applications.
(a) Our Privacy Policy Statement, which sets out the terms on which we process any personal data we collect from you, or that you provide to us. By using our Services, you consent to such processing and you warrant that all data provided by you is accurate. You understand that through your use of the Services you consent to the collection and use (as set forth in the Privacy Policy) of this information, including the transfer of this information to South Africa and/or other countries for storage, processing, and use by Metalmintconnect.co.za. [As part of providing you the Services, we may need to provide you with certain communications, such as service announcements and administrative messages. These communications are considered part of the Services and your Metalmintconnect.co.za application account, which you may not be able to opt-out from receiving]; and
(b) Our Payment Terms, which set out the additional terms for users of our paid and subscription-based services.
The services of Metalmintconnect.co.za include but are not limited to an application for designing the profile, a backend for setting up your account, and displaying your profile.
Because the Services that we provide are always evolving, their form and nature may change from time to time, and we may not be able to give you prior notice. In addition, we may stop (permanently or temporarily) providing features within the Services to you or to users generally. Wherever possible we will try to provide you with prior warning of a disruptive event. We may offer certain Services as closed or open beta services (Beta Service or Beta Services) for the purpose of testing and evaluation. You agree that we have the sole authority and discretion to determine the period of time for testing and evaluating Beta Services. We will be the sole judge of the success of such testing and the decision, if any, to offer the Beta Services as commercial services. We reserve the right to fully or partially discontinue, at any time and from time to time, temporarily or permanently, any of the Beta Services with or without notice to you. You agree that Metalmintconnect.co.za will not be liable to you or to any third party for any harm related to, arising out of, or caused by the modification, suspension, or discontinuance of any of the Beta Services for any reason.
6.1 You are responsible for making all arrangements necessary for you to have access to our Services. You are also responsible for ensuring that all persons who access our Services through your internet connection are aware of these Terms of Service and other applicable terms and conditions, and that they comply with them
7.1 Passwords (a) To access certain features of our applications and services, you must register for a Metalmintconnect.co.za application account. During account registration, you will be asked to provide details including your email address and a preferred password. You are responsible for safeguarding the password that you use to access the Services and for any activities or actions under your password. You must use 'strong' passwords (passwords that use a combination of upper and lower case letters, numbers, and symbols) with your account. You must treat such information as confidential. You must not disclose it to any third party. Metalmintconnect.co.za cannot and will not be liable for any loss or damage arising from your failure to comply with the above.
(b) We have the right to disable any password, whether chosen by you or allocated by us, at any time, if in our reasonable opinion you have failed to comply with any of the provisions of these Terms of Service.
(c) If you know or suspect that anyone other than you knows your password, you must promptly notify us at admin@metalmint.co.za.
8.1 Non-paying users Metalmintconnect.co.za gives you a personal, worldwide, royalty-free, non-assignable, non-exclusive, and revocable license to use the software that is provided to you by us as part of the Services. This license is for the sole purpose of enabling you to use and enjoy the benefit of the Services as provided by Metalmintconnect.co.za, in the manner permitted by these Terms of Service.
Paying users and subscribers (a) As a paying user or subscriber to any Subscription Plan, we authorize you to use our Content for which you agree to pay us in accordance with the relevant subscription fee in accordance with our Payment Terms.
9.1 All intellectual property rights subsisting in respect of the Services belong to Metalmintconnect.co.za or have been lawfully licensed to Metalmintconnect.co.za for use in connection with the Services. All rights under applicable laws are hereby reserved. You are not allowed to upload, post, publish, reproduce, transmit, or distribute in any way any component of the website itself or create derivative works with respect thereto, as our Site is copyrighted under applicable laws.
9.2 You agree that we are free to use, disclose, adopt and modify all and any ideas, concepts, know-how, proposals, suggestions, comments, and other communications and information provided by you to us in connection with the Services and/or your use of the Services without any payment to you. You hereby waive and agree to waive all and any rights and claims for any consideration, fees, royalties, charges, and/or other payments in relation to our use, disclosure, adoption, and/or modification of any or all of your Feedback.
You retain your rights to any Content you submit, post, or display on or through the Services. By submitting, posting, or displaying Content on or through the Services, for example through submissions made in the profile setting backend, you grant us a worldwide, non-exclusive, royalty-free license (with the right to sublicense) to use, copy, reproduce, process, adapt, modify, publish, transmit, display and distribute such Content in any and all media or distribution methods (now known or later developed), but solely for the purposes of providing, developing, and facilitating the functioning of the Services.
10.1 We reserve the right at all times (but will not have an obligation) to remove or refuse to distribute any Content on the Services and to terminate users or reclaim usernames. We also reserve the right to access, read, preserve, and disclose any information as we reasonably believe is necessary to (i) satisfy any applicable law, regulation, legal process, or governmental request, (ii) enforce the Terms of Service, including investigation of potential violations hereof, (iii) detect, prevent, or otherwise address fraud, security, or technical issues, (iv) respond to user support requests, or (v) protect the rights, property, or safety of us, our users, and the public.
10.2 You must not misuse our Services. Such misuses include, but are not limited to, doing any of the following: -You may not use our Services for any illegal purposes or activities. -You may not access our Services in any manner that could damage, disable, overburden, or impair any of our accounts, computer systems, or networks. -You may not attempt to gain unauthorized access to any parts of our Services or any Metalmintconnect.co.za accounts, computer systems, or networks. -You may not post, share, or transmit any unlawful, threatening, offensive, defamatory, obscene, or otherwise objectionable material on our Services.
Metalmintconnect.co.za's liability to you for any direct, indirect, incidental, special, consequential, or punitive damages arising out of or relating to the Services shall be limited to the amount you have paid us for your use of the Services in the three months immediately preceding the claim. In no event shall Metalmintconnect.co.za be liable for any loss of profits, revenues, or data, or for any indirect, incidental, special, consequential, or punitive damages.
12.1 These Terms of Service shall be governed by and construed in accordance with the laws of South Africa, without regard to its conflict of law provisions.
13.2 Any dispute arising out of or relating to these Terms of Service shall be subject to the exclusive jurisdiction of the courts of South Africa.
